Acceptance of terms

These Terms of Use ("terms") govern your access to and use of the solomondirect.store website (the "site") and any services we provide. They are issued by SOLOMON DIRECT LIMITED, a private limited company registered in England and Wales (company number 17375029) at 22 Ilford Close, Ilkeston, England, DE7 9HB.

By accessing or using the site, or otherwise engaging with us, you confirm that you have read, understood, and agree to be bound by these terms and all applicable laws and regulations. If you do not agree to these terms, you must not use the site.

To place an order or receive services from us, you must be acting in the course of your business (a business customer) or acting as a consumer. Where you act as a consumer, the additional protections set out in the Consumer Rights Act 2015 apply to you.

Changes to these terms

We may revise these terms from time to time. When we do, we will update the "Last updated" date at the top of this page. Your continued use of the site after any changes constitutes your acceptance of the revised terms. You should review these terms periodically for changes.

Use of the website

You may access and use the site for lawful purposes only. In using the site you agree that you will:

(a) not misuse, hack, or introduce viruses or other harmful material; (b) not use automated means (including scrapers, bots, or spiders) to access the site or copy any content; (c) not submit any content that is unlawful, defamatory, threatening, or otherwise objectionable; and (d) comply with all applicable laws in connection with your use of the site.

We do not warrant that the site will always be available, uninterrupted, or error-free, and we may suspend or withdraw all or any part of the site at our sole discretion without notice where we are not restricted from doing so by law.

Our services and ordering

We supply non-specialised wholesale goods to trade customers throughout England and Wales. Any quotation we provide is valid for fourteen (14) days from the date of issue unless we state otherwise in writing, and is not an offer which may be accepted by you. An order submitted by you is an offer on your part for the supply of goods subject to these terms, which we are free to accept or reject.

Consumer Rights Act 2015. Where we provide services or supplies goods to you as a consumer (that is, not in the course of your business), the Consumer Rights Act 2015 implies certain statutory rights which cannot be excluded or limited. In particular, services will be performed with reasonable care and skill, within a reasonable time, and for reasonable reward, and goods supplied to you will be of satisfactory quality, fit for purpose, and as described. Nothing in these terms affects your statutory rights as a consumer.

Where you act as a business customer, the goods and services are supplied "as is" to the fullest extent permitted by law, and no condition, warranty, or representation is given by us beyond those required by law.

Intellectual property

All content, logos, names, graphics, photographs, and material on the site (including all intellectual property rights in them) are the property of SOLOMON DIRECT LIMITED or our licensors, and are protected by copyright, trade mark, and other intellectual property laws. Nothing on the site constitutes a licence or a right to use any trademark, logo, or other intellectual property of ours or of any third party.

You may access the site and view and print pages for your own personal or business use, but you must not copy, modify, distribute, transmit, reproduce, republish, or exploit any content without our express prior permission or that of the relevant rights holder (other than where permitted by law).

Limitation of liability

The site and all content on it are provided "as is" and "as available". To the fullest extent permitted by applicable law, we exclude all conditions, warranties, representations, or other terms that might apply to the site or its content, whether arising in contract, tort (including negligence), breach of statutory duty, or otherwise.

In no event shall we be liable to you or any third party for any indirect, incidental, special, exemplary, or consequential loss or damage, including but not limited to loss of profits, loss of revenue, loss of business, loss of data, or loss of goodwill, even if we have been advised of the likelihood of such loss or damage, whether based on contract, tort (including negligence), breach of statutory duty, or otherwise.

No exclusion of non-excludable liability. Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited under applicable law. In all other respects, our total aggregate liability to you for any claim arising out of or in connection with these terms or the site, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall be limited to the greater of £500 and the amount you have paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.

Third-party links and resources

The site may, from time to time, contain links to third-party websites, services, or resources (including advertisers and advertising networks). We have no control over the contents, privacy policies, or practices of any third-party sites or resources. A link to a third-party site does not mean we endorse or endorse any views expressed on it. If you access a third-party site, you do so at your own risk.

Termination

We may, at our sole discretion, suspend or terminate your access to (all or part of) the site or your account with us, or restrict your access to any content on the site, at any time and without notice. We shall not be liable to you or any third party for any termination or restriction of access to the extent permitted by law.

Each provision of these terms is severable. If any provision of these terms is held to be invalid, unenforceable, or illegal, the remaining provisions will remain in full force and effect to the fullest extent permitted by law.

Governing law and jurisdiction

These terms, and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual claims), are governed by and construed in accordance with English law. The courts of England and Wales have exclusive jurisdiction to settle any such dispute or claim, unless and to the extent that mandatory local jurisdiction rules in the country in which you are resident require the application of the law of that other jurisdiction (which, in the case of consumers, we honour).
